TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of the Nutra mobile application and related services (collectively, the "Services") provided by BRISA LABS LLC ("we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

SUMMARY OF KEY POINTS

  • Intended Use. Nutra is for tracking calories and nutrition from legal food items (food, beverages, and dietary supplements). It must not be used to track illegal substances or for any unlawful purpose. See Section 4.
  • No Medical Advice. AI-generated insights and all content in the app may be inaccurate or incomplete and are provided for informational purposes only. They are not medical advice. Always consult a qualified healthcare professional. See Section 6 and Section 7.
  • Safety. You are responsible for your own health choices. Verify any nutrition, allergen, and ingredient information independently.
  • Accounts. You must be at least 18 and keep your credentials secure. See Section 3.
  • Liability. The Services are provided "as is" without warranties. Our liability is limited to the maximum extent permitted by law. See Section 12.

1. ACCEPTANCE OF TERMS

By accessing or using the Services, you confirm that you can form a binding contract with us and that you accept these Terms. If you are using the Services on behalf of an entity, you represent that you are authorized to bind that entity and that the entity accepts these Terms.

2. CHANGES TO THE SERVICES OR TERMS

We may modify these Terms and/or the Services at any time. The updated Terms will be indicated by an updated "Last updated" date at the top of this page. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

3. ELIGIBILITY; ACCOUNTS AND SECURITY

You must be at least 18 years old to use the Services. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must promptly notify us of any unauthorized use of your account.

4. APP PURPOSE AND ACCEPTABLE USE

Nutra is a calorie and nutrition tracking app designed for logging daily food consumption and tracking progress against goals. It includes summaries, graphs, and dashboards displaying your progress.

  • Intended items: food, beverages, dietary supplements, and other legal food items.
  • Strictly prohibited: tracking illegal substances, facilitating illegal activities, or any other unlawful use.

5. USER CONTENT AND LICENSE

You retain ownership of the content you submit to the Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display such content solely for the purpose of operating and improving the Services.

You represent that you have all necessary rights to your User Content and that your User Content does not violate any law or third-party rights.

6. AI INSIGHTS AND LIMITATIONS

The Services may generate insights using artificial intelligence and large language models based on the data you log. While we strive to provide helpful information, AI-generated content can be inaccurate, incomplete, or misleading and may not reflect your individual circumstances. Do not rely on AI outputs as a substitute for professional judgment.

We process logged information to provide these insights and share anonymized or de-identified inputs with AI service providers in order to generate outputs. We do not intentionally share personally identifiable information with AI providers. For details on how we handle data, please see our Privacy Policy.

7. HEALTH AND NUTRITION DISCLAIMER (NO MEDICAL ADVICE)

The Services are for informational and educational purposes only and are not a substitute for professional medical advice, diagnosis, or treatment. Nutrition information, including calories and macronutrients, may be approximate and can vary by brand, preparation, and portion. Always verify labels and consult a qualified healthcare professional before making health-related decisions.

If you have a medical emergency, call your local emergency number immediately.

8. PROHIBITED CONDUCT

  • Using the Services for any illegal purpose or in violation of any law or regulation.
  • Tracking or encouraging the use of illegal substances.
  • Uploading malicious code, interfering with or disrupting the Services.
  • Infringing or violating others’ intellectual property or privacy rights.
  • Attempting to reverse engineer or circumvent security features.

9. THIRD-PARTY SERVICES

The Services may integrate with or link to third-party services (e.g., app stores, analytics, AI providers). We are not responsible for third-party services, and different terms and privacy policies may apply.

10. INTELLECTUAL PROPERTY

The Services, including software, text, graphics, logos, and trademarks, are owned by or licensed to us and are protected by intellectual property laws. Except for the limited rights expressly granted to you, no rights are transferred.

11. DISCLAIMERS OF WARRANTIES

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICES; (B) ANY CONTENT OR INFORMATION OBTAINED FROM THE SERVICES (INCLUDING AI-GENERATED CONTENT); OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

13. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless BRISA LABS LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your violation of these Terms or misuse of the Services.

14. TERMINATION

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, Sections that by their nature should survive will survive (including ownership provisions, disclaimers, limitations of liability, and indemnification).

15. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in New Jersey for the resolution of any disputes arising from or relating to these Terms or the Services.
